Welcome to ValleyFresh (“we”, “our”, or “us”). ValleyFresh operates as an online marketplace that connects local growers and producers (“Sellers”) with consumers (“Buyers”). These Terms and Conditions (“Terms”) govern your use of our website, platform, and related services (collectively, the “Service”).

By accessing or using ValleyFresh, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Service.

1. Nature of the Platform

ValleyFresh is an intermediary platform. We do not buy, sell, produce, store, handle, or deliver any products listed on the platform.

  • All products are offered directly by Sellers.
  • All purchases are made directly between Buyers and Sellers.
  • ValleyFresh does not own or control any of the products listed on the platform.

We provide a digital venue for Sellers to advertise their goods and for Buyers to connect with them.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age (or the age of majority in your province/territory);
  • Have the legal capacity to enter into binding contracts; and
  • Use the Service in compliance with all applicable laws and regulations in Canada.

3. Role of ValleyFresh

ValleyFresh’s role is strictly limited to providing the technological platform for connection and communication.

We are not a party to any transaction, agreement, or dispute between Buyers and Sellers.

Accordingly, ValleyFresh:

  • Does not guarantee the quality, safety, legality, or authenticity of any products;
  • Does not verify the accuracy or truthfulness of product listings;
  • Does not handle payments between Buyers and Sellers beyond facilitating digital payment processing through third-party services;
  • Is not responsible for the condition of any items, their timely availability, or pickup arrangements.

All liability relating to products, communication, or fulfillment rests solely with the Seller.

4. Buyer Responsibilities

As a Buyer, you acknowledge and agree that:

  • You purchase directly from the Seller, not ValleyFresh.
  • You are responsible for reviewing all product descriptions and verifying any information before purchase.
  • You must arrange pickup directly with the Seller according to the instructions provided during checkout.
  • Any disputes regarding product quality, quantity, pickup, or refunds must be resolved directly with the Seller.

ValleyFresh may, at its discretion, assist with communication, but we are not obliged to mediate or resolve disputes.

5. Seller Responsibilities

As a Seller on ValleyFresh, you agree to:

  • Comply with all federal, provincial, and municipal food safety laws, including any regulations under the Canadian Food Inspection Agency (CFIA) and local public health authorities;
  • Ensure all products are accurately described, safe, and lawful to sell;
  • Maintain any required permits, certifications, or licenses for food production and sales;
  • Communicate clearly with Buyers regarding pickup details;
  • Handle all refunds, returns, and disputes directly with Buyers.

Sellers agree to indemnify and hold harmless ValleyFresh from any claims, damages, or losses resulting from their listings, actions, or omissions.

6. Payment and Fees

  • ValleyFresh provides access to a payment processing service through a third-party provider (e.g., Stripe, PayPal).
  • ValleyFresh may collect a commission or service fee from Sellers as disclosed on the platform.
  • All pricing, taxes, and applicable fees are determined by the Seller, not ValleyFresh.
  • ValleyFresh does not hold Buyer or Seller funds; payments are processed directly through the third-party provider.

7. Limitation of Liability

To the maximum extent permitted by law:

  • ValleyFresh, its affiliates, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Service.
  • ValleyFresh does not warrant that the Service will be uninterrupted, secure, or error-free.
  • ValleyFresh is not responsible for any damages, contamination, illness, or injury arising from the consumption of any food or product purchased through the platform.

8. Dispute Resolution Between Users

All disputes between Buyers and Sellers must be resolved privately between those parties. ValleyFresh may provide communication tools but will not act as an arbitrator.

If a dispute involves fraudulent activity or violation of law, ValleyFresh reserves the right to report the incident to the appropriate authorities.

9. Intellectual Property

All content, branding, and software associated with the ValleyFresh website and platform are the intellectual property of ValleyFresh. You may not copy, reproduce, or distribute any material from our website without written consent.

10. User Content and Conduct

Users are responsible for any content (text, images, listings) they upload. You agree not to:

  • Post false, misleading, or illegal information;
  • Use the platform for fraudulent or harmful purposes;
  • Violate any third-party rights or applicable laws.

ValleyFresh may remove any content at its sole discretion.

11. Indemnification

You agree to indemnify, defend, and hold harmless ValleyFresh and its affiliates from and against any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your:

  • Use of the platform;
  • Violation of these Terms; or
  • Violation of any third-party rights or laws.

12. Termination of Access

ValleyFresh reserves the right to suspend or terminate your access to the Service at any time, without notice, for conduct that it believes violates these Terms or harms the platform or its users.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario, and the applicable laws of Canada.
Any disputes shall be brought before the courts located in Toronto, Ontario.

14. Changes to These Terms

We may update these Terms periodically. Updated versions will be posted on our website, and continued use of the Service after such changes constitutes acceptance of the new Terms.
